Did you form a Delaware LLC or a Delaware Corporation?

Be mindful of the annual filing deadlines and filing fees.

Every Delaware entity needs to submit some form of filing and pay a fee to keep the entity in good standing.

Delaware LLCs file an annual report by June 1st and pay a flat fee of $300.

Delaware corporations file a report by March 1st, and they need to compute a franchise tax payment under either the Authorized Shares Method or the Assumed Par Value method.
