Newly formed U.S. LLCs and Corporations are required to file a BE-13 Form with the Bureau of Economic Analysis department with the US Department of Commerce.

There are a variety of versions of the BE-13 form, but in most cases, a newly formed entity can qualify for a BE-13 exemption if the total costs to capitalize or acquire the entity is under $3,000,000.

Make sure to timely file the form as late-filed forms can be subject to penalties.
